Cap Tables and Convertible Notes

A capitalization table, or cap table, is a list of a company’s securities and who owns them. For startups that raise and compensate with equity, cap tables are a fundamentally important part of operations and financial projections.


Cap tables may also include formulas that model out various hypothetical transactions like new financings, sales of the company, or public offerings. While cap tables can be complex, in this workshop we will teach how to build and maintain a comprehensive cap table for early-stage startups.

You will also learn about convertible notes and how they can be used to raise capital during the early days of your startup when it's difficult to determine your company's valuation.
 
Our speakers will be Jeff Bodle and Andy Hamilton from the law firm Morgan Lewis.
